Wells Fargo insiders sold $10.1M in the past 12 months. How much of their stake is that?

Insiders sold $10.1M, 0% under disclosed plans. Not enough reconciled holdings to state a share of stake: the people whose holdings are not confirmed made 48% of the group's sales. Why

Jun 15, 2026Jason Rosenberg had 8.1K shares ($676K) withheld by the company for taxes (not a market sale). That is 27% of the total stake held that day. 17K shares came in from vesting or option exercises the same day, so the holding rose by 9.1K net.

"% of total stake" is the shares in this event against all the vested shares the person held that day, across every share class and holding entity, after that day's vesting. "n/a" means the person's holdings don't reconcile, or the row is a purchase. "Holdings record incomplete" means more shares were sold than the filings show the person held that day, so a percentage would be wrong.

Is this normal? More than usual: $10.1M sold, after almost none in the past 5 years. 3 insiders sold; the average is 1 a year. Year by year

Two officers sold $4.8M with no disclosed plan: Bridget Engle ($2.6M) and Kleber Santos ($2.2M). The filings don't state a reason.Bridget Engle: largest such sale, Feb 26, 2026 · Kleber Santos: largest such sale, Feb 20, 2026
Tax withholding outweighed market sales: the company withheld $91.7M of officers' and directors' shares for taxes, against $10.1M sold on the open market. The largest was Charles Scharf ($24.1M withheld).Largest withholding, Mar 5, 2026

Left out: Bei Ling (holdings couldn't be fully reconciled); Kleber Santos and Bridget Engle (most of their shares vested during the period, so a percentage would mislead); Kristy Fercho (not confirmed: 1,405 shares of balance changes are unexplained, more than 1% of the starting stake (65,246)); Fernando Rivas (not confirmed: 478 shares of balance changes are unexplained, more than 1% of the starting stake (44,454)); Steven Black (not confirmed: 3 shares of balance changes are unexplained, more than 1% of the starting stake (138)); Fabian Garcia (not confirmed: 2 shares of balance changes are unexplained, more than 1% of the starting stake (100)).
Disclosed company stock is not an insider's whole wealth.

Officers and directors, past 12 months. Each bar is 100% of that person's own stake; not comparable between people. The stake is the vested shares held at the start of the period (Oct 10, 2025); the gold part is what they sold.

Common questions

Is the Wells Fargo CEO selling stock?

No. Charles Scharf reported no open-market sales in the past 12 months.

Why are Wells Fargo insiders selling?

Filings rarely give a reason, and we don't guess at one. What they show is how the sales were made: 0% of sales by value ran under 10b5-1 trading plans disclosed in the filings and 100% had no disclosed plan. A trading plan schedules sales in advance.

Are any Wells Fargo insiders buying?

No. Officers and directors reported no purchases in the past 12 months.

"Still held" compares ending with starting vested shares; a plus sign means the holding grew.

What explains the selling$10.1M of sales by plan status, purpose, seller and month

Officer and director open-market sales: $10.1M across 115,000 shares. Plan status and stated purpose are separate questions, and a sale can have both.

By plan status

No plan disclosed · $10.1M

Sales with no 10b5-1 plan and no tax reference in the filing. $5.2M of it is Ellen Patterson. No plan disclosed is a statement about the filing, not about why the sale happened. Largest such sale: Ellen Patterson, Feb 26, 2026

Taxes

1,044,721 shares ($91.7M) were withheld by the company for taxes, which isn't a market sale.

Open-market sales (Form 4 code S) by people who were officers or directors, in split-adjusted shares. Earlier years include people who have since left. A sale that an outside holder also reports (a family trust, a fund) is counted with outside holders in every year. Shares, not dollars, are compared, so a change in the stock price doesn't look like a change in selling. Years the filings don't fully cover are shown but left out of the average.

Known gaps and uncertainty1 insider whose holdings couldn't be fully reconciled

Bei Ling: holdings couldn't be fully reconciled (difference of -17,771 shares). Balance changed with no matching transaction and no footnote: -74,912 shares on Feb 26, 2026 (Direct). Filing, Feb 26, 2026

Charles Scharf: minor difference of 345 shares. Footnotes say what happened but give no amount, so the amounts are derived from the balance changes: 340.275 shares from stock units or awards that vested.

Michael Santomassimo: minor difference of 15 shares. Difference is under 0.5% of holdings.

Scott Powell: minor difference of 849 shares. Footnotes say what happened but give no amount, so the amounts are derived from the balance changes: 181.9961 shares from stock units or awards that vested.

Derek Flowers: minor difference of 652 shares. Difference is under 0.5% of holdings.

Kyle Hranicky: minor difference of 1,231 shares. Difference is under 0.5% of holdings.

Ellen Patterson: minor difference of 21 shares. Difference is under 0.5% of holdings.

Saul Van Beurden: minor difference of 213 shares. Footnotes say what happened but give no amount, so the amounts are derived from the balance changes: 157.5472 shares from stock units or awards that vested.

Barry Sommers: minor difference of 187 shares. Footnotes say what happened but give no amount, so the amounts are derived from the balance changes: 172.2562 shares from stock units or awards that vested.

Muneera Carr: minor difference of -1 share. Difference is under 0.5% of holdings.

Kleber Santos: minor difference of 15 shares. Difference is under 0.5% of holdings.

Kristy Fercho: minor difference of 1,838 shares. Small increase from a 401(k) plan and dividend reinvestment.

Bridget Engle: minor difference of 306 shares. Difference is under 0.5% of holdings.

Fernando Rivas: minor difference of 478 shares. Difference is under 0.5% of holdings.

Mark Chancy: minor difference of 33 shares. Difference is under 0.5% of holdings.

Suzanne Vautrinot: minor difference of 3 shares. Difference is under 0.5% of holdings.

Steven Black: minor difference of 3 shares. Unexplained small increases, consistent with stock unit vesting or reinvested dividends.

Fabian Garcia: minor difference of 2 shares. Unexplained small increases, consistent with stock unit vesting or reinvested dividends.

Inferred rename: "Through IRA" is treated as the same holder as "Through SEP IRA", because the old name was never reported again and the new one opened with the same balance (41,262 shares). Old name, new name

Inferred rename: "Through Irrevocable Trust" is treated as the same holder as "Through Trust", because the old name was never reported again and the new one opened with the same balance (0 shares). Old name, new name

Inferred typo: the share class "Common Stock, $ 1 2/3 par value" is treated as the same class as "Common Stock, $1 2/3 Par Value" on 2 holding lines, because the two spellings are nearly identical and each balance carried over exactly. Example (Michael Loughlin, 69,175 shares): old title, new title

External context: we only cite outside events when a documented connection exists. None is shown for this period.

Sources and methodology2,931 filings from SEC EDGAR, and how we read them

All 2,931 Forms 3, 4 and 5 filed for Wells Fargo (SEC CIK 72971) from Oct 10, 2002 to Oct 5, 2026, retrieved from SEC EDGAR on Oct 10, 2026. Prices are the ones reported in each filing, often weighted averages. 162 filings were left out because Wells Fargo filed them as an owner of another company's stock. 2 older filings exist only on paper and could not be read.

Probable 2-for-1 stock split on or before Aug 11, 2006 (split date stated in a footnote). Splits aren't reported as transactions; 33 holding lines changed by exactly this ratio, so earlier share counts are restated.

Holdings. Each holding line (a share class plus an owner, such as a trust or LLC) carries its last reported balance forward. Entities first reported during the period start at zero, so transfers between an insider's own trusts don't count as selling. Lines not reported for three years or more are listed separately and left out of totals.

Sales. A sale counts as under a 10b5-1 plan if its footnote cites one or the filing's Rule 10b5-1 box is checked, and as tax-related if its footnote cites tax obligations or sell-to-cover. Shares withheld by the company for taxes are listed separately. Sales with neither attribute are labeled "no plan disclosed".
