What happened on October 14

CoreWeave shares fell about 10% in morning trading on Wednesday, October 14, according to 24/7 Wall St.. The yield on the company's unsecured bonds had touched 15% the previous session, and investors were weighing CoreWeave's borrowing: TipRanks reports debt and lease obligations of about $52 billion at the end of June.

The selloff follows a financing round announced on September 17, when CoreWeave said it planned to sell $3.0 billion of convertible senior notes due 2033 and signed an agreement to sell up to 35 million new Class A shares over time.

Moves like this send people looking for one thing: were insiders selling? Here is everything the filings show.

Who sold

Officers and directors, past 12 months. Dollar values use the sale prices reported on each filing.

Three co-founders, Venturo, Intrator and McBee, account for $2.62 billion, about 89% of all officer and director selling. Almost all of their sales were made under disclosed trading plans.

A trading plan (a "10b5-1 plan") is set up in advance and sells on a fixed schedule or at set prices. Intrator's recent filings show that pattern: 307,692 shares were sold under a plan on each of September 15, September 22 and September 29.

How much of their stake was it?

We only state a share of stake when a person's holdings reconcile line by line with their filings. For CoreWeave, that is true for five people:

For the others, including Venturo and McBee, the filings don't let us confirm a starting balance precisely enough to state a percentage. See why on the CoreWeave page.

† Measured against shares held at the start plus shares received during the year (after tax withholding), because most of the shares sold arrived during the year.

Selling peaked in April and May. Almost all of the unplanned selling came in May: Jack Cogen's $214 million.

Since the September 17 financing announcement, officers and directors sold about $76 million: $58 million under disclosed plans (Intrator on September 22 and 29, CFO Nitin Agrawal on September 22) and $17.6 million to cover taxes on vesting stock on September 30. None of it was reported without a plan. In October, through the 14th, the only sale reported in our data was 3 shares.

Filings for trades on or just before October 14 may not have been filed yet. Insiders have two business days to report.

The outside investor

Magnetar Financial, which owns more than 10% of CoreWeave and is not part of management, sold $3.44 billion of stock (27.4 million shares) between October 2025 and August 14, 2026, about 36% of its starting stake. It still holds about 47.7 million shares. On its own, it sold more than all of CoreWeave's officers and directors combined.

Nvidia, also a 10% holder, reported no sales.
